SERVICE AGREEMENT & TERMS OF SALE

Overview This Service Agreement ("Agreement") is a binding legal contract between you ("Client" or "Customer") and The Stream Team, LLC ("Service Provider," "we," or "us"), a Maryland limited liability company. By purchasing any service package, consulting hour, or digital product from our website, you expressly agree to be bound by these terms.
1. SERVICES & SCOPE
1.1 Nature of Services: The Stream Team provides webinar strategy, technical production, and post-production content services. The specific deliverables for your engagement are outlined in the product description of the package purchased (e.g., "The Showrunner," "The Launchpad," "The Strategy Audit").
1.2 Independent Contractor: We act as an independent contractor, not as an employee of your company. We provide the equipment and software necessary to perform our duties, excluding the Client’s own hardware and internet connection.
2. PAYMENT & REFUNDS
2.1 Payment Terms: All services must be paid in full upfront via the online checkout process prior to the commencement of any work or strategy sessions.
2.2 No "Taste-Based" Refunds: Our fees cover the time, expertise, and technical labor required to produce your event and assets. Refunds are not issued based on subjective dissatisfaction (e.g., "I didn't like the style of the blog post," "I didn't like the tone of the video") provided that all objective deliverables outlined in the scope have been met.
2.3 Right to Refuse Service: The Stream Team, LLC reserves the right to cancel any order and issue a full refund at our sole discretion. Reasons for cancellation may include, but are not limited to: The Client is not operationally ready to host a webinar, repeated rescheduling of kickoff calls, hostile communication, or misalignment of values.
3. CANCELLATION & RESCHEDULING
We reserve time on our production calendar exclusively for your event, turning away other business to do so. Therefore, the following policies apply:
3.1 Rescheduling by Client:
- 14+ Days Notice: You may reschedule your event date one (1) time at no cost.
- Less than 14 Days Notice: Rescheduling requires a $250 Rebooking Fee to secure a new date.
3.2 Cancellation by Client:
- 14+ Days Notice: Eligible for a 100% refund.
- 7–13 Days Notice: Eligible for a 50% refund.
- Less than 7 Days Notice: No refunds will be issued.
3.3 No-Shows: Failure to appear for a scheduled Strategy Audit or Dry Run without prior notice will result in forfeiture of that session.
4. CLIENT RESPONSIBILITIES & TECHNICAL REQUIREMENTS
4.1 Equipment: The Client and all Guest Speakers are responsible for their own local hardware and internet connection.
- Hardwire Requirement: To ensure broadcast quality, we strongly recommend all speakers connect via Ethernet cable. The Stream Team, LLC is not liable for audio/video degradation (pixelation, robotic audio, freezing) caused by the Client’s or Guest’s use of Wi-Fi or unstable internet connections.
4.2 Assets: The Client must provide all necessary assets (logos, slide decks, headshots) at least 48 hours prior to the scheduled event. Failure to provide assets on time may result in them being excluded from the final broadcast.
5. LIMITATION OF LIABILITY & PLATFORM FAILURES
5.1 Third-Party Platforms: The Stream Team, LLC utilizes third-party software (including but not limited to Zoom, StreamYard, Riverside, and LinkedIn) to deliver services. We are not responsible for service outages, bandwidth throttling, API errors, or technical failures caused by these platforms.
- In the event of a platform-wide outage: We will work with you to reschedule the event at no additional labor cost, but no monetary refunds will be issued for the original service date.
5.2 Limitation of Liability: To the maximum extent permitted by applicable law, The Stream Team, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. In no event shall our total liability for all claims related to the services exceed the total amount of fees actually paid by the Client to The Stream Team, LLC for the specific service giving rise to the claim.
6. NO PERFORMANCE GUARANTEES
6.1 Marketing Results: We guarantee the technical execution of your event. We do not guarantee specific marketing results, including but not limited to: number of registrants, live attendance rates, leads generated, sales closed, or audience retention.
6.2 Content Performance: For post-production services (e.g., "Content Cascade"), we do not guarantee specific social media engagement metrics (likes, views, shares), viral distribution, or SEO search rankings.
7. SCOPE OF WORK & REVISIONS
7.1 Revisions: For creative deliverables (video clips, copy), the Client is entitled to two (2) rounds of revisions per asset.
- Revisions must be requested within 5 business days of delivery.
- Additional revisions beyond the included rounds will be billed at an hourly rate of $150/hour.
7.2 Scope Creep: Requests outside the purchased package (e.g., complex video editing, custom graphic design, CRM integration) are not included and will be quoted separately.
8. INTELLECTUAL PROPERTY & CONFIDENTIALITY
8.1 Ownership: Upon full payment, the Client owns all rights to the final video recordings and content produced during the event.
8.2 Retained Rights: The Stream Team, LLC retains all rights to its background intellectual property, including reusable templates, checklists, processes, and run-of-show formats used to produce the event.
8.3 Confidentiality: The Stream Team, LLC agrees to keep all Client data, internal strategy, and trade secrets strictly confidential and will not disclose them to third parties without written consent, except as required by law.
8.4 Indemnification: The Client agrees to indemnify and hold harmless The Stream Team, LLC from any claims, damages, or liabilities arising out of the content presented during the webinar, including claims of copyright infringement or defamation regarding statements made by the Client or their guests.
9. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland.

Addendum A: Retainer & Fractional Marketing Services (The Growth Engine)
This Addendum supplements the standard Terms of Service for The Stream Team, LLC and applies specifically to clients enrolled in ongoing, monthly fractional marketing retainers (e.g., "The Growth Engine").
1. Scope of Work & Hour Allocation The Client agrees to a monthly retainer securing a fixed block of ten (10) fractional marketing hours per billing cycle.
- Rollover Policy: Retainer hours are reserved specifically for the Client each month and do not roll over. Any unused hours at the end of the billing cycle will expire and are non-refundable.
- Overage Billing: If requested tasks require time exceeding the allotted ten (10) hours in a given month, The Stream Team, LLC will notify the Client. No overage work will be performed without the Client’s written approval. Approved overages will be billed at the standard consulting rate of $150.00 per hour and invoiced separately.
2. Subscription Billing & Cancellation Retainer services operate on a month-to-month subscription basis.
- Auto-Renewal: The Client’s payment method on file will be automatically charged $750.00 on the same date each month (the "Billing Date"), marking the start of a new 30-day service cycle.
- Cancellation Mechanics: The Client may cancel their subscription at any time. To prevent the next month's charge, cancellation requests must be submitted in writing (via email) to The Stream Team, LLC at least seven (7) days prior to the next scheduled Billing Date. Services will continue through the end of the current paid billing cycle.
3. Third-Party Software & Access Liabilities The Stream Team, LLC will assist in the technical setup and management of various third-party marketing tools (CRMs, email delivery servers, landing page builders, etc.).
- Financial Responsibility: The Client is solely responsible for all subscription fees, licensing, and direct costs associated with any third-party software or platforms used to execute the marketing strategy.
- Access & Delays: The Client agrees to provide necessary administrative access, passwords, and permissions in a timely manner. The Stream Team, LLC is not liable for project delays resulting from a failure to provide such access.
- Platform Liability: The Stream Team, LLC is not responsible for data loss, service outages, software bugs, or changes to the terms of service of any third-party platforms.
4. Data Privacy, Compliance & Ownership As part of the retainer, The Stream Team, LLC may build data-capture workflows, forms, and email sequences.
- Compliance: The Client retains full ownership of all captured audience and customer data. The Client is strictly and solely responsible for ensuring their marketing practices, data collection, and communications comply with all applicable local, federal, and international laws (including, but not limited to, the CAN-SPAM Act, TCPA, and GDPR).
- Execution vs. Liability: The Stream Team, LLC acts solely as the technical executor of the marketing strategy and assumes no legal liability for the Client’s failure to legally obtain consent, manage opt-outs, or safeguard consumer data.
